Acquisition agreement and parties

Novartis India Ltd said its board approved acquiring the trademarks "Minipress" and "Minipres" and certain related intellectual property from Pfizer Inc. USA and Pfizer Products Inc. USA for a total aggregate consideration of approximately ₹1,250 crore. The company said it executed an asset purchase agreement and trademark assignment deeds with the two Pfizer entities, with the signing and closing of the transaction scheduled to occur simultaneously. Novartis India characterized Minipress XL, which contains prazosin, as primarily indicated in India for treating hypertension and managing the urinary symptoms of benign prostatic hyperplasia.
Commercial scale of the Minipress brand
According to IQVIA MAT July 2026 data cited by Novartis India, Minipress XL recorded revenue of ₹228.6 crore, with the brand growing at a compound annual growth rate of 6.3 percent over the past four years. Novartis India said the broader category has been growing at 9 percent in the same period. The Minipress deal comes after private-equity firm ChrysCapital acquired the entire 70.68 percent stake in Novartis India previously held by Swiss parent Novartis AG, and Novartis India had previously been identified by its parent in 2024 as under review.
Pfizer's parallel wind-down in India
In a separate filing, Pfizer Ltd said it would discontinue the marketing, distribution and sale of Minipress XL from September 7, 2026, citing a decision by Pfizer Inc USA to discontinue manufacture of the product. Pfizer Ltd said it would receive a lump sum payment of $13.9 million (roughly ₹131.38 crore) from Pfizer Inc USA in connection with that decision. Novartis India separately noted that, with a new team and roughly 40 employees, the company is being built up while continuing to rely on existing relationships for contract manufacturing, and operates across segments including pain management, calcium supplementation, gynaecology, neurosciences, and transplant immunology with brands including Voveran, Calcium Sandoz and Tegrital.
Next milestone
Novartis India said signing and closing of the asset purchase agreement are scheduled to occur simultaneously, with no separate completion date disclosed in the filings.
