Nvidia said it agreed to acquire Hugging Face for $12.93 billion, with roughly $11.9 billion flowing to the target's investors and a separate employee retention program worth up to $1 billion in equity available to staff who join Nvidia. Nvidia's own announcement fixed the headline figure at $12,930,300,000. The transaction is subject to customary closing conditions and approvals, and Nvidia did not announce a closing date. Scale of the Platform Nvidia Is Absorbing

Nvidia framed the move around Hugging Face's reach, citing more than 18 million developers, researchers and creators on the platform, alongside more than 3 million models, 500,000 datasets and 1 million applications, with over 200,000 companies using the service to discover, evaluate, customize and deploy AI. Tom's Hardware and the Nvidia blog both cite those platform metrics, and Tom's Hardware notes Nvidia itself has published more than 500 models and 250 open datasets on Hugging Face, making the chipmaker one of the platform's largest contributors. TechCrunch, cited by The Logical Indian, also reported that Hugging Face had raised more than $395 million before the acquisition announcement, following a $235 million 2023 round that valued the company at $4.5 billion and included Nvidia, Salesforce, Google and Amazon.

Origin and Structure of the Combination

Nvidia's Jensen Huang said Hugging Face co-founder Clément Delangue approached him while evaluating the company's next stage, and that Nvidia was chosen as a home for the community and its open-model ambitions. Tom's Hardware reports that the Hugging Face team will join Nvidia and continue working on the project. The New York-based company was founded in 2016 by Clément Delangue, Julien Chaumond and Thomas Wolf, according to The Logical Indian.

Commitment to an Open, Multi-Provider Platform

Nvidia committed to keeping Hugging Face open across the wider AI ecosystem. The company said developers will continue to choose their models, frameworks, clouds, inference service providers and computing platforms, that Nvidia compute will not be required to build on or deploy through Hugging Face, and that the platform will continue to support open source and open-weight models alongside multi-cloud and multi-accelerator development and deployment. Tom's Hardware and the Nvidia blog both carry that commitment, and Tom's Hardware links the strategy to Nvidia's dominant position in AI hardware and its goal of growing demand for that hardware without forcing platform participants into its own stack.

Operational Implications and Next Milestones

Nvidia said its infrastructure, engineering resources and global presence will be used to improve Hugging Face's platform reliability, safety, model evaluation, inference and deployment capabilities, according to Tom's Hardware. The Logical Indian notes Nvidia did not disclose a completed closing date in its September 3 announcement, leaving the next verifiable milestone as the satisfaction of closing conditions and any subsequent regulatory or shareholder approvals needed to complete the deal.
