Multiple law firms are notifying investors who purchased HDFC Bank Limited (NYSE: HDB) securities between July 17, 2023 and May 26, 2026 that they may seek lead plaintiff status in a pending securities fraud class action, with the court having set October 13, 2026 as the deadline to apply. Notices issued by The Rosen Law Firm, Hagens Berman, and Levi & Korsinsky on August 24, 2026 state that a class action lawsuit has already been filed and that investors may pursue recovery on a contingency fee basis without out-of-pocket cost. The firms are also soliciting participation from investors who acquired HDB American Depositary Shares during the class period and from whistleblowers who may qualify for rewards under the SEC Whistleblower program.

The alleged deposit inducement arrangement

The complaints center on allegations that HDFC Bank management approved payments totaling roughly Rs 45 crore, or approximately $4.7 million, routed to the Maharashtra State Road Development Corporation (MSRDC) and recorded as sponsorship of a road safety awareness campaign. According to the filings, those amounts functioned as a 2.51% interest markup above rates offered to other savings customers, producing an effective 6.01% return designed to induce large deposits. The lawsuits claim the structure circumvented Reserve Bank of India interest rate norms and HDFC Bank's own internal policies barring improper deposit inducements, with the alleged payments approved at the senior management level.

Disclosure and accounting claims

The actions assert that because the inducement payments were booked as marketing spend rather than as interest-equivalent expense, HDFC Bank's interest income, operating expenses, and related margin metrics were misstated over multiple reporting periods. Reported figures cited in the filings include net interest income growing 21.1% to ₹23,599 crore for the quarter ended June 30, 2023, a core net interest margin of 4.1% on total assets for that quarter, core net interest margin figures ranging from 4.1% down to 3.27% across the class period, and cost-to-income ratios reported between 38.0% and 42.8%. The complaints further note that HDFC Bank's annual reports on Form 20-F stated that internal control over financial reporting was effective as of March 31, 2024 and March 31, 2025, and that risk disclosures warned only generally that regulatory investigations and fines "could" affect results without disclosing the alleged arrangement.

Share price reactions and internal findings

HDB American Depositary Shares declined $2.09, or approximately 7.28%, on March 18, 2026 following the resignation of the part-time Chairman and Independent Director, and a further $1.02, or approximately 4.1%, on May 27, 2026 after The Indian Express reported the alleged arrangement, with the second decline occurring on unusually heavy volume. According to the filings, an internal probe reportedly conducted in March and April 2026 concluded that more than ten senior officials bore responsibility for the practices in question.
