ICICI Bank completed buying an additional roughly 2% stake in ICICI Prudential Life Insurance for an aggregate consideration of about ₹1,470 crore (₹14.70 billion), according to an exchange filing disclosed by the life insurer on September 2, 2026. The acquisition was executed through multiple tranches on the stock exchange between July 22, 2026 and September 2, 2026, covering 29,015,693 equity shares of face value ₹10 each of ICICI Prudential Life, representing about 2.00% of the insurer's equity share capital as of June 30, 2026.

Change in shareholding

The purchase raised ICICI Bank's stake in ICICI Prudential Life to approximately 52.8% from 50.84% as of June 30, 2026, reinforcing the bank's position as the controlling shareholder of the life insurer. Prudential, which held about 21.89% of ICICI Prudential Life at the same June 30, 2026 reference date, was separately required to reduce its stake in ICICI Prudential Life to below 10% in connection with its announced acquisition of a 75% stake in Bharti Life Insurance from Bharti Enterprises for ₹3,500 crore, first announced on May 17, 2026 and still subject to regulatory approvals.

Market reaction and benchmark price

ICICI Prudential Life Insurance shares ended September 2, 2026 up 0.85% at ₹499.50 on the BSE on the day the filing was disclosed, providing a reference market price alongside the ₹1,470 crore consideration reported by the bank.
