Rio Tinto placement and initial stake

Rio Tinto Canada Inc., an affiliate of Rio Tinto Exploration Canada Inc., closed a previously announced strategic investment in Mogotes Metals Inc., subscribing for 30,387,857 units at C$0.70 per unit for gross proceeds of approximately US$15,000,000, equivalent to C$21,271,500. The placement gives Rio Tinto an initial approximately 5% interest in Mogotes. Each unit consists of one common share and one-half of one common share purchase warrant, with 15,193,928 warrants exercisable at C$1.00 over an 18-month period, which could yield Mogotes up to an additional C$15,193,928 if exercised.
Filo Sur strategic and technical alliance
The closing triggered formation of a Strategic & Technical Alliance centered on Mogotes' Filo Sur project in the Vicuña district of Argentina and Chile. The alliance pairs Mogotes' district knowledge with Rio Tinto's porphyry exploration technology, establishes a joint technical committee to advise exploration work, and applies proprietary geoscience targeting workflows aimed at expanding the project's consolidated land position. Mogotes said the completion of Rio Tinto's strategic investment is "a powerful endorsement of the prospectivity of Filo Sur and the broader Vicuña district," and that the alliance gives the team access to "one of the deepest exploration capabilities in the industry" while preserving Mogotes' ability to deliver value to all shareholders.
Rio Tinto exclusivity, top-up and pre-emptive rights
Rio Tinto secured a 15-month exclusivity period over Filo Sur, extendable by an additional six months, along with a right to match third-party proposals. The miner also obtained a top-up right allowing it to reach a 9.99% holding on a partially diluted basis, and pre-emptive participation rights in future financings. Concurrently, Mogotes issued 7,970,945 units at the same C$0.70 offering price, raising C$5,579,661.50 from investors exercising pre-emptive rights.
Filo Sur setting and exploration backdrop
Mogotes Metals (TSXV: MOG, FSE: OY4, OTCQB: MOGMF) is a mineral exploration company focused on copper, gold, and silver in Argentina and Chile. Its principal asset, the Filo Sur project, adjoins Lundin Mining's Filo del Sol deposit and lies along the same north-south-trending belt as the Filo del Sol-Aurora deposits and NGEx Minerals' Lunahuasi and Los Helados copper-gold projects. Technical planning builds on geophysical modeling completed in August 2025, when integrated IP/MT data defined large-scale targets at the Los Mogotes cluster. The parties also intend to explore extending the alliance model to additional belts, including in Kazakhstan.
