The Quarter in Context

Autodesk's second fiscal quarter ended July 31, 2026 produced total net revenue of $2,046 million, up roughly 16.1 percent year over year, with subscription revenue of $1,952 million representing about 95 percent of the top line. Operating income of $599 million implied an operating margin near 29.3 percent, a noticeable step-up from the prior-year quarter's 25.2 percent. Net income reached $492 million, translating to diluted earnings per share of $2.33. The filing also disclosed a newly announced acquisition of MaintainX, funded in part by a $1 billion term loan drawn shortly after quarter-end, alongside existing notes payable and commercial paper balances.

The latest twelve months, derived from the trailing four reported quarters, generated about $7.79 billion in revenue, $2.04 billion in operating income, and $2.90 billion in operating cash flow. A roughly $57 million trailing capex figure is tiny relative to revenue, leaving about $2.84 billion of trailing free cash flow on an accounting basis. The context that matters is not the quarter alone but the relationship between that earnings power and the dated market capitalization of $54.78 billion at $259.61 per share on August 28, 2026. That market cap is the lens through which every later judgment must be filtered.

Business Model and Profit Engine

Autodesk sells software subscriptions and, to a far lesser extent, perpetual and other licenses to professional designers, engineers, builders, and creators. Customers in architecture, engineering, construction and operations (AECO), manufacturing, and media and entertainment pay recurring subscription fees for tools such as AutoCAD, Revit, Fusion, and the AEC Collection, with most billings either annual or upfront. The current quarter's $1,952 million of subscription revenue, plus $94 million of other revenue, illustrates how dominant recurring revenue has become. This is a classic transaction that converts to a high-margin recurring annuity: customers renew annually, and the contractual structure pushes cash in before much of the service is delivered, which is why Autodesk carries $4,036 million of current deferred revenue and $222 million of long-term deferred revenue on the balance sheet as of July 31, 2026.

Revenue converts to profit efficiently because the cost of subscription revenue was only $130 million against $1,952 million of subscription revenue in the quarter, a cost-of-revenue ratio near 6.7 percent. After marketing and sales of $616 million, research and development of $464 million, and general and administrative costs of $179 million, operating income of $599 million remained. The largest variable cost lines are people-related, and the largest discretionary line, R&D, runs at roughly 23 percent of revenue, an unusually heavy reinvestment ratio that is consistent with a platform company protecting category leadership. Capital intensity is modest: trailing property, plant, and equipment investment is about $57 million against $7.79 billion of trailing revenue, which is why accounting free cash flow closely tracks reported operating income.

Product family mix gives a partial view into concentration. AECO revenue of $1,029 million, AutoCAD and AutoCAD LT revenue of $500 million, manufacturing of $385 million, and media and entertainment of $92 million show that no single product family exceeds roughly half of quarterly revenue. Customer concentration is low at the top: only distributor TD Synnex exceeded 10 percent of revenue in the comparable prior-year periods, falling to 8 percent in the current quarter. A data gap is that segment-level operating margins are not separately disclosed, so cross-subsidy between product families cannot be quantified from the filing. The principal observable threats to the profit engine are sustained subscription churn if core tools face credible substitutes, a step-down in R&D productivity, and any meaningful adverse shift in foreign exchange given the company's roughly 60 percent non-U.S. revenue mix.

Earnings Quality and Cash Conversion

Where the issuer reports cash flow and capital expenditure cumulatively, the standalone-quarter cash-flow figures are derived by subtracting the preceding cumulative filing. They are calculations from SEC facts rather than separately reported quarterly line items.

The earnings-to-cash bridge in the six-month cash flow statement is straightforward and strong. Net income of $983 million plus stock-based compensation of $339 million, depreciation and amortization of $101 million, and a $347 million amortization of contract-acquisition costs together more than explain net cash from operations of $1,468 million. The most informative line for quality is deferred revenue, which decreased by $434 million in the six months because revenue recognized exceeded new billings, a normal pattern at mid-year when annual contracts are heaviest early in the fiscal year. That drawdown is not a deterioration in customer demand but an artifact of timing.

The standalone-quarter operating cash flow figure of $575 million for the three months ended July 31, 2026 was derived from the six-month cumulative figure less the prior cumulative figure, because Autodesk reports only six months of operating cash flow in the latest 10-Q; readers should treat the $575 million as a calculated quarterly estimate, not a directly reported line. Capital expenditures for the quarter, also calculated from cumulative filings, were about $14 million, leaving roughly $561 million of accounting free cash flow for the quarter, which is approximately 27.4 percent of revenue. Trailing twelve-month operating cash flow of $2,896 million against trailing twelve-month net income of $1,642 million indicates that reported earnings understate cash generation, partly because contract-acquisition cost amortization and stock-based compensation are added back.

There is one item that materially changes the picture. Stock-based compensation expense for the latest six months was $339 million, equal to about 8.5 percent of revenue, and the diluted share count has drifted down only marginally year over year despite aggressive repurchases, which suggests that buybacks are largely offsetting dilution rather than shrinking the float aggressively. Capital expenditure is not separated into maintenance versus growth in the filing, so the $561 million of free cash flow is best labeled an accounting free-cash-flow proxy, not a formal maintenance-capex measure. The implication is that cash conversion is genuinely strong, but a portion of reported earnings requires the reader to accept non-cash add-backs that are normal in software but worth monitoring if growth slows.

Business Quality, Moat, and Industry Position

Autodesk occupies a defensible position in professional design tooling, with roots in AutoCAD that reach back decades and an installed base of architects, engineers, contractors, and manufacturers whose project files, libraries, and workflows create meaningful switching costs. The filing describes products built around industry-standard file formats, BIM models, and integration between design and construction phases, which supports a durable advantage in workflows where coordination cost is high. The current quarter's remaining performance obligations of $7.43 billion, of which $5.24 billion is expected to convert to revenue within twelve months, is direct filing evidence of contractual revenue visibility that small competitors would struggle to replicate.

Industry position also shows up in the diversification profile. Revenue by geography in the quarter split Americas $898 million, EMEA $804 million, and Asia Pacific $344 million, which limits dependence on any single economy, and the Americas further split between the U.S. at $727 million and other Americas at $171 million. Foreign-currency exposure is meaningful but partially hedged through derivative contracts with maturities up to eighteen months. The data gap is the absence of filed quantitative market-share data; moat strength here is qualitative, drawn from filing language about category leadership and from the customer concentration disclosure that names no single end customer above 10 percent. The bottleneck classification is best described as an important participant with deep workflow embedding rather than a single chokepoint that competitors cannot route around, because construction and design toolchains do allow some substitution at the project level.

Management and Capital Allocation

Capital allocation in the first six months of fiscal 2027 was aggressive on three fronts simultaneously. The company repurchased $901 million of common stock, drew $993 million of new short-term debt, spent $55 million on business combinations net of cash acquired, and made $31 million of capital expenditures. The repurchase authorization remaining under existing programs stood at approximately $6.58 billion at quarter-end, with two plans, $1.58 billion under a November 2022 authorization and $5 billion under a November 2024 authorization, indicating continued capacity for future buybacks. Management has also explicitly tied buybacks to offsetting stock-based compensation dilution, which is the conventional discipline for a mature software franchise.

Debt is being used to fund both the MaintainX acquisition and ongoing operations, with $994 million of short-term borrowings, $499 million of current portion of long-term notes, and $1,985 million of long-term notes on the balance sheet as of July 31, 2026. The company also amended and upsized its revolving credit facility to $2 billion in mid-2026, providing substantial liquidity backstop. Stock-based compensation expense of $339 million in six months is real economic cost even if non-cash in the income statement, and it is consistent with a company that relies heavily on equity incentives to attract technical talent. Observers cannot independently verify management's capital-allocation discipline from the filing alone, but the combination of large repurchases, moderate leverage, and continued R&D reinvestment is consistent with the shareholder-return-plus-reinvestment posture one would expect from a mature platform.

Valuation and What the Market Already Expects

At the dated price of $259.61, the equity market capitalization is $54.78 billion, and adding total debt of $994 million then subtracting cash and short-term investments of $4,155 million produces an enterprise value of roughly $51.62 billion. Against trailing twelve-month operating cash flow of $2,896 million and accounting free cash flow of about $2,839 million, the dated market is paying approximately 18 to 19 times trailing cash flow. That multiple is not extreme for a high-margin subscription franchise, but it is also not inexpensive, and it embeds a specific growth assumption that the reader can reverse-engineer.

The reverse-DCF logic embedded in the dated price is that operating cash flow continues to grow at a moderate pace well above the company's underlying revenue base, with margin expansion or stability, and that the multiple compresses only modestly over a multi-year horizon. Anything materially slower in subscription billings growth, or any compression of operating margin, would compress the implied return. The valuation burden of the dated market capitalization therefore requires the reader to believe both in durability of the workflow advantage and in continued mid-single-digit or better unit growth across the major product families.

Ten-Year Cash Flow to Fair Market Value

The starting free cash flow is the normalized SEC cash-flow proxy, while every growth rate, discount rate and terminal rate below is an explicit editorial assumption rather than company guidance. Each annual cash flow is forecast and discounted separately; terminal value is year-ten free cash flow multiplied by one plus terminal growth, divided by discount rate minus terminal growth, and then discounted back ten years. Fair market capitalization equals that explicit ten-year present value plus discounted terminal value and a same-date balance-sheet adjustment when available. If current cash and debt facts do not share one report date, the table shows the adjustment as unavailable and conservatively applies zero. The share count is derived from the dated market capitalization and share price so US shares and foreign ADRs use a consistent traded-security denominator.

In the reverse-DCF, holding the 9% discount rate and 3% terminal growth fixed, and solving only for one constant growth rate rather than using the base-case growth path, the current market capitalization implies roughly 3.8% annual free cash flow growth for ten years. This is a sensitivity framework, not a price target: the terminal-value share shows how strongly each result depends on assumptions beyond the explicit forecast. Negative margin of safety means the current market capitalization exceeds the scenario value.

Five Value-Investing Lenses

Benjamin Graham Lens

The Graham floor asks whether a downside exists if the franchise disappoints. Total debt is small relative to cash and short-term investments, with $994 million of short-term borrowings and $499 million of current portion of long-term notes against $4,098 million of cash and $57 million of short-term marketable securities, and the company carries no long-term notes maturing in the next twelve months beyond the current portion. Tangible book value is negative because of large goodwill and intangibles from years of acquisitions, but that is normal for a software roll-up and is not a Graham-test failure on its own. Graham's test of normalized earning power is harder, because the trailing operating margin near 26 percent on a TTM basis depends on continued R&D productivity. The dated market capitalization is not priced at a Graham-style asset or normalized-earnings discount; the multiple is growth-dependent, so the public reader should treat this as a quality compounder rather than a Graham bargain.

Benjamin Franklin Lens

Capital discipline, in the Franklin sense of thrift and compounding, shows up in two places. First, Autodesk spent only $31 million on capital expenditures in the first six months, which is essentially a rounding error against $3,980 million of revenue, so every marginal subscription dollar drops heavily to cash. Second, the company chose to issue $993 million of new debt rather than draw down its $2,249 million starting cash balance to fund operations and the MaintainX acquisition, and ended the half with $4,098 million of cash, meaning it actually grew cash while taking on debt, which is the opposite of disciplined thrift. The opportunity cost is that the $1 billion drawn under the MaintainX term loan shortly after quarter-end commits capital to an acquisition whose return cannot be verified from the filing. Franklin's framing would caution that compounding works best when capital is invested at high incremental returns, not when it is borrowed at a market rate to chase strategic adjacencies.

Warren Buffett Lens

Buffett's lens on owner economics focuses on cash that can be withdrawn from the business without harming its competitive position. Trailing operating cash flow of $2,896 million against modest capex produces strong owner-style cash generation, and the deferred revenue balance provides a structural working-capital tailwind that few industries enjoy. Stock-based compensation is a real cost of doing business in software, so the owner-economic earnings stream should be evaluated net of that expense, not grossed up by treating it as a non-cash item that does not affect intrinsic value. Capital allocation has been shareholder-friendly through $901 million of repurchases in six months, which exceeds the trailing stock-based compensation expense, signaling that buybacks are not merely offsetting dilution but reducing share count. The moat argument relies on workflow integration and file-format standards, both of which are difficult to displace but not impossible.

Charlie Munger Lens

Munger would invert the question and ask what could permanently impair this business. The first risk is that AI-native design tools materially compress the time and skill required to produce professional design outputs, eroding Autodesk's pricing power on subscriptions. The filing mentions artificial intelligence as a forward-looking strategic theme but provides no filed evidence of revenue from AI-native products, which is a data gap rather than a confirmation. The second inversion is incentive alignment: the CEO adopted a Rule 10b5-1 plan in June 2026 to sell up to 66,394 shares, and the company continues heavy reliance on equity compensation, which Munger would scrutinize for whether executives are incentivized to grow per-share value or to maintain a large equity stake that is hard to monetize otherwise. The third bias check is the temptation to anchor on the headline 16 percent revenue growth without recognizing that subscription billings timing can distort the headline rate across quarters, so a multi-period view is required.

Li Lu Lens

Li Lu's framework emphasizes circle of competence, durable competitive advantage, culture, and permanent-loss control. Autodesk sits squarely inside the circle of competence for any investor who understands professional software, because the products, channels, and customer types are observable and the economics are recurring. The culture evidence from the filing is limited but consistent: there are disclosure controls, a clawback policy, and insider trading policies filed as exhibits, and the company has been transparent about restructuring charges and acquisition activity. Durability rests on the workflow moat, which is strong but not absolute, because open-source CAD tools and point solutions continue to compete at the margin. Permanent-loss risk is limited by the net cash position and the recurring nature of revenue, but the use of debt to fund the MaintainX acquisition introduces execution risk that should be monitored as integration progresses.

Risks, Disconfirming Evidence, and What Would Prove This Thesis Wrong

Three observable thesis breakers stand out. First, sustained deceleration of subscription billings growth toward low single digits would undermine the reverse-DCF logic embedded in the dated market capitalization, because the base case requires mid-single-digit free cash flow growth and any material shortfall would push outcomes toward the bear scenario. Second, a step-down in operating margin caused by R&D underperformance, restructuring, or integration costs from MaintainX would compress free cash flow faster than the market currently appears to assume, and the filing shows restructuring charges of $29 million in six months and acquisition-related spending already underway. Third, competitive displacement by AI-native design tools or open-source alternatives that compress the value of professional subscriptions would reduce pricing power over multi-year contracts, and the filing provides no quantitative defense against that risk.

The most likely wrong assumption is that deferred revenue provides a smooth glide path regardless of new-billing trends; in fact, deferred revenue draws down when recognized revenue exceeds new billings, which happened in the first six months, so a sustained drop in new billings would eventually flatten revenue even if deferred revenue remains positive. Opportunity cost is real: the dated market capitalization offers limited margin of safety, and capital deployed here is capital not deployed in a wider opportunity set. Evidence that would force a conclusion change includes a printed quarter with subscription billings growth below 5 percent, a multi-hundred-basis-point operating margin compression without an offsetting acquisition rationale, or a successful new product launch from a competitor that materially erodes pricing on existing Autodesk collections.

Investment Conclusion

Autodesk at the dated price is a high-quality, recurring-revenue franchise trading at a multiple that already prices in continued execution. The filing evidence supports a conclusion of fairly valued with limited margin of safety: the dated market capitalization is within roughly 9 percent of the deterministic base-case fair market capitalization, which means expected returns depend primarily on whether the company can deliver on the embedded growth assumption rather than on any meaningful multiple expansion. The public reader should view Autodesk as a watchlist candidate rather than a clear margin-of-safety purchase, and should track subscription billings growth, operating margin trajectory, and MaintainX integration as the three observable indicators most likely to update the view.
