The Quarter in Context

Clean Energy Fuels Corp. (CLNE) reported $106.4 million of revenue for the three months ended June 30, 2026, up roughly 3.7% year over year from $102.6 million. The company also reported an operating loss of $5.1 million for the quarter, narrower than the $9.2 million loss a year earlier but still negative. On the cash side, the picture flips: operating cash flow for the quarter was $28.8 million (derived by subtracting the six-month figure from the prior six-month cumulative set), against capital spending of $3.6 million, producing an accounting free-cash-flow proxy of $25.1 million for the period.

The latest 10-K frames the business as North America's leading retailer of renewable natural gas (RNG) and conventional natural gas for medium- and heavy-duty fleets, with revenue split between product sales and service sales plus environmental-credit revenue. Three large holders, including a TotalEnergies affiliate (≈19%), an Amazon warrant that can grow to ≈19.99% on vesting, and a Stonepeak warrant that can reach ≈9.99%, hold concentrated economic interests that the market must underwrite alongside the underlying fuel business. The quarter's central operating result is therefore a familiar one for this name: a small reported loss, a real cash inflow, and a balance sheet still geared toward regulatory and fuel-volume assumptions.

Business Model and Profit Engine

The customers are commercial fleet operators: heavy-duty trucking, refuse, transit, airports, marine and industrial buyers that burn either compressed natural gas (CNG) or liquefied natural gas (LNG) in place of diesel. What they buy is a fuel plus the infrastructure to dispense it. Clean Energy either owns, operates, or supplies the station, while Environmental Credits, including RINs under the federal Renewable Fuel Standard and credits under California's, Oregon's, Washington's and New Mexico's Low Carbon Fuel Standard, attach to the act of dispensing RNG into vehicle fuel tanks.

Revenue is split two ways on the income statement: product revenue ($91.1 million in the quarter) and service revenue ($15.2 million). Product revenue is the gas itself, sourced from a mix of dairy and landfill projects under long-term offtake agreements with third-party producers and the company's joint ventures with TotalEnergies and BP, plus conventional natural gas purchased from utilities and marketers. Service revenue covers station operations and maintenance, station construction and the share of environmental-credit value retained after the producer is paid its split. Filing evidence does not break out Environmental Credit revenue as a separate line, so segment economics by credit type are a disclosed data gap.

Cost of sales for products was $64.3 million in the quarter and $11.9 million for services, leaving a gross profile that the filings do not summarize in a single gross-profit line for this period; this is a disclosed data gap because the XBRL concept for gross profit is missing. Selling, general and administrative expense was $24.6 million, and depreciation and amortization was $10.7 million. The interest expense of $5.5 million in the quarter versus $7.7 million a year earlier reflects the absence this year of a $10 million paid-in-kind interest charge that hit 2025. Loss from equity method investments of $6.2 million, primarily the dairy and other RNG production joint ventures, is the recurring drag from upstream supply economics, and it remains a structural feature of the model rather than a one-time item.

Fixed-cost intensity is high and visible: $313.1 million of net land, property and equipment, plus $83.3 million of operating lease right-of-use assets, against trailing-twelve-month revenue of $442.4 million. Capital expenditure of $3.6 million in the quarter, down from prior periods, is a directional signal but not a clean indicator of maintenance versus growth because the filings do not split the two. Working capital was a source of cash in the quarter (a $5.0 million reduction in receivables, partially offset by lower deferred revenue of $9.0 million), but this is timing rather than structural. The observable conditions that would weaken the profit engine are clear: a sustained drop in RIN or LCFS credit prices, a regulatory reversal of zero-emission truck rules that removes a structural incentive to use RNG, or a sustained decline in diesel-to-natural-gas spreads. None of these would be visible in a single quarter, but each would surface first in environmental-credit revenue and unit margins.

Earnings Quality and Cash Conversion

Where the issuer reports cash flow and capital expenditure cumulatively, the standalone-quarter cash-flow figures are derived by subtracting the preceding cumulative filing. They are calculations from SEC facts rather than separately reported quarterly line items.

Reported earnings quality is poor in the conventional sense. The six-month operating loss of $8.0 million is much smaller than the $135.5 million loss in the first half of 2025, but the prior-year loss was inflated by a $64.3 million goodwill impairment recorded in Q1 2025. Goodwill is now zero on the balance sheet, which removes that source of non-cash noise going forward. The remaining loss in the first half of 2026 reflects continuing under-absorption of fixed costs and the equity-method loss from upstream RNG projects, which is real economic drag even though it is a non-cash line on the parent's statement.

Cash conversion is the more flattering lens. Operating cash flow was $20.4 million in the first six months of 2026, down from $59.3 million a year earlier, with the difference explained largely by working-capital reversals and the prior-year benefit of larger receivable collections. Capital expenditure was $10.5 million in the first six months versus $12.4 million a year earlier, so the accounting free-cash-flow proxy stands at roughly $9.9 million for the half. Trailing twelve months, operating cash flow of $46.6 million against capital spending of $23.8 million yields an accounting free-cash-flow proxy of $22.9 million, which is the figure the valuation analysis treats as a dated sensitivity base rather than a steady-state earning power. The filings do not separate maintenance from growth capital expenditure, so this should not be called maintenance-capex owner earnings.

Stock-based compensation of $4.3 million and stock-based sales incentive charges of $19.7 million in the first six months are real economic costs that reduce GAAP loss but are added back in the cash-flow statement as non-cash items. The Amazon warrant and Stonepeak warrant add an additional dilution overhang that the market must price: the Amazon warrant vests with fuel purchases and can ultimately reach 19.99% of fully diluted shares, and the Stonepeak warrant is exercisable for up to 9.999% of outstanding shares. The diluted weighted-average share count of 220.3 million is roughly the same as a year ago, but the as-converted share count is materially higher, and the filings disclose this clearly.

Business Quality, Moat, and Industry Position

On the available evidence, the company is best described as an important participant, not a demonstrated core supply-chain bottleneck. This classification describes strategic position only; it is not independent proof of a moat or valuation upside.

Clean Energy's stated competitive position is concrete and partially observable. The company serves over 1,200 fleet customers operating more than 65,000 vehicles, and as of December 31, 2025, it owned, operated, or available 582 U.S. stations and 27 Canadian stations. The company also discloses a 50% share of transportation RNG in California and a 32% U.S. share in 2025, and it claims more fueling-station access than all competitors combined. These are not independently audited market shares, and the filing labels them as company beliefs rather than third-party measurements, so they are useful as one-sided evidence but should not be treated as audited facts.

The moat, where it exists, is a combination of station network density, long-term supply contracts with over 150 third-party RNG producers, and qualification relationships with regulators like the EPA and CARB that take months to years to replicate. The regulatory moat is two-edged. RNG must be registered and audited to generate RINs, and pathway certification under CARB's LCFS takes 15 to 18 months from first injection. This barrier protects incumbents but also exposes them to rule changes, and the filing lists a January 2025 executive order that paused certain IRA disbursements and the OBBBA legislation of July 2025 that restricted certain transferable tax credits as direct risks.

Supply-chain position sits between upstream RNG producers and downstream fleet buyers, with the company acting as aggregator, dispenser and credit aggregator. The bottleneck question is whether the station network and the credit-aggregation role are genuinely scarce. The filings argue yes, citing scale and qualification costs. The filing does not, however, identify named peer companies or third-party station counts, so the competitive position is described from a single vantage point. This is a data gap rather than a contradiction.

Management and Capital Allocation

The company is led by a long-tenured team: Andrew J. Littlefair signed the 10-K as President and CEO and Robert M. Vreeland as CFO, and both signed the 10-Q certification pages. Capital allocation in the first half of 2026 was conservative on capital expenditure but active on the balance sheet. The company reduced share count through modest repurchases in 2025 (none in the first half of 2026), reduced short-term debt by $0.7 million in the half, and shifted a portion of cash into short-term investments of $81.0 million versus $0.6 million at year-end 2025. The June 30, 2026 cash position of $59.2 million, including restricted cash, was down from $157.8 million at year-end 2025, with the decrease driven primarily by $116.1 million of net cash used in investing activities (including $26.8 million of investments in other entities).

Incentives appear aligned with share count rather than per-share value. Stock-based compensation expense of $4.3 million and stock-based sales incentive charges of $19.7 million in the half are the visible cost of those incentives. The Amazon warrant, which is the largest single source of those sales-incentive charges, is explicitly accounted for as a reduction of revenue under ASC 606 because it represents consideration paid to a customer. That accounting treatment inflates gross margin optics in a way that is technically correct but worth flagging: the headline revenue number is already net of a non-cash warrant amortization that exceeds stock-based compensation expense itself. No dividends are paid; the company is reinvesting.

The CFO adopted a Rule 10b5-1 plan in June 2026 to sell up to 708,520 shares between September 8, 2026 and June 7, 2027. Total Marketing Services, an affiliate of TotalEnergies, filed a Rule 10b5-1 plan in February 2026 to sell up to 6,164,720 shares. These are routine disclosures, but in a stock with concentrated holders and persistent losses they are relevant context for supply and demand.

Valuation and What the Market Already Expects

As of August 28, 2026, the share price was $1.625 and the dated market capitalization was $358.2 million. Net debt was $91.0 million on the latest balance sheet (cash plus short-term investments of $138.0 million against total debt of $229.0 million, using calculated totalDebt). The trailing-twelve-month accounting free-cash-flow proxy of $22.9 million therefore implies a free-cash-flow yield on the dated market capitalization of roughly 6.4%, which is the valuation burden the market is currently pricing. The latest twelve-month net loss of $94.1 million rules out any meaningful trailing P/E; the latest trailing-twelve-month diluted EPS of negative $0.33 is not a basis for a trailing P/E.

The reverse-DCF implications are more informative than the multiples. With a dated market capitalization of $358.2 million, the market is underwriting a normalized free-cash-flow base above the trailing $22.9 million, and doing so at a discount rate that is consistent with a mid-cycle normalization rather than a continuation of the current modest positive cash generation. This is consistent with what one would expect from a business whose own forward-looking statements hinge on regulatory durability and continued growth in environmental-credit revenue, neither of which is contractually fixed. The valuation burden, in other words, is the market's belief that the current FCF base is below mid-cycle, and that the gap will close. Whether that belief is right is the investment question.

Ten-Year Cash Flow to Fair Market Value

The starting free cash flow is the normalized SEC cash-flow proxy, while every growth rate, discount rate and terminal rate below is an explicit editorial assumption rather than company guidance. Each annual cash flow is forecast and discounted separately; terminal value is year-ten free cash flow multiplied by one plus terminal growth, divided by discount rate minus terminal growth, and then discounted back ten years. Fair market capitalization equals that explicit ten-year present value plus discounted terminal value and a same-date balance-sheet adjustment when available. If current cash and debt facts do not share one report date, the table shows the adjustment as unavailable and conservatively applies zero. The share count is derived from the dated market capitalization and share price so US shares and foreign ADRs use a consistent traded-security denominator.

In the reverse-DCF, holding the 9% discount rate and 3% terminal growth fixed, and solving only for one constant growth rate rather than using the base-case growth path, the current market capitalization implies roughly 4.8% annual free cash flow growth for ten years. This is a sensitivity framework, not a price target: the terminal-value share shows how strongly each result depends on assumptions beyond the explicit forecast. Negative margin of safety means the current market capitalization exceeds the scenario value.

Five Value-Investing Lenses

Benjamin Graham Lens

The Graham floor asks whether the dated price provides a margin of safety against permanent loss of capital, not whether it is statistically cheap. Clean Energy carries $138.0 million of cash and short-term investments against $229.0 million of total debt, so net debt is $91.0 million on a $358.2 million market capitalization. That is not a fortress balance sheet. The company has accumulated deficit of $1,261.8 million against $558.7 million of total stockholders' equity, and the goodwill has already been written to zero, removing a non-cash cushion. The accounting free-cash-flow proxy of $22.9 million trailing twelve months, while positive, depends on working-capital timing and the absence of major credit-price resets. Graham's discipline treats the absence of recurring GAAP earnings, the limited balance-sheet cushion, and the dependence on regulatory durability as three separate margin-of-safety concerns, none of which the current price clearly offsets. The dated price is not a Graham bargain on the visible evidence.

Benjamin Franklin Lens

The Franklin lens applies modern thrift and opportunity cost to capital allocation. Clean Energy reduced share count modestly in 2025, paid no dividends, and reinvested cash into short-term investments and other entities rather than into growth projects at scale. The discipline is mixed: $26.8 million went into investments in other entities in the first half of 2026, $10.5 million went into property and equipment, and cash fell by $98.6 million from year-end 2025 to $59.2 million. The opportunity cost is that the same dollar deployed into buying back stock at $1.625 is acquiring roughly half a dollar of trailing free cash flow per share, before dilution, against a balance sheet that already runs net debt of $91.0 million. A Franklin observer would note that capital is being preserved but not compounded, and that the next dollar of reinvestment will need to clear a higher hurdle than the prior one because the easiest environmental-credit economics are behind the company.

Warren Buffett Lens

Buffett would focus on owner economics and capital allocation discipline. The accounting free-cash-flow proxy of $22.9 million trailing twelve months is not owner earnings, because the filings do not separate maintenance from growth capital expenditure and do not quantify maintenance working-capital needs as a stand-alone number. The capital allocation track record includes a $64.3 million goodwill impairment in Q1 2025, a $26.8 million investment in other entities in the first half of 2026, and persistent equity-method losses from upstream RNG projects. Buffett would also weigh the concentration of ownership: three holders, including a TotalEnergies affiliate with two board seats and an Amazon warrant that vests with fuel purchases, sit on top of a sub-$400 million market capitalization. This is not an owner-friendly cap table. The most relevant Buffett-style question is whether the business can earn through-cycle returns on incremental invested capital, and the filings do not show that it has done so yet.

Charlie Munger Lens

Munger would invert the question and ask what would have to be true for this business to be a durable compounder, then look for evidence that the inversion fails. The first inversion is regulatory: the filings list three specific regulatory risks in the second quarter 10-Q alone, including the January 2025 executive order pausing IRA disbursements, the OBBBA restrictions on transferable tax credits, and the withdrawal of California's ACF waiver application. The second inversion is concentration: the largest holder has publicly filed a 10b5-1 sale plan, the CFO has filed a separate plan, and the Amazon and Stonepeak warrants add dilution overhang. The third inversion is unit economics: product cost of sales of $64.3 million against product revenue of $91.1 million implies a product-level gross margin in the high-20s percent range, which is thin for a fuel retailer and leaves little cushion against credit-price compression. Munger would likely conclude that the inversion evidence is stronger than the moat narrative, and would not act on the latter without a clearly demonstrated through-cycle earning power.

Li Lu Lens

Li Lu would test the circle of competence and the durability of advantage. The business sits at the intersection of agricultural waste, regulatory credits, vehicle fleets and station infrastructure, which is a complicated enough intersection that the durable-advantage question is hard to answer without a long operating history. The filings provide that history: 28 years in alternative fuels, 13 years of growing RNG volumes, and a station network that is hard to replicate quickly. The culture question is observable in part: insider sales via 10b5-1 plans are disclosed, and the cap table concentration is high but not hidden. The permanent-loss mechanism is concrete: a sustained reversal in environmental-credit pricing would compress unit margins faster than the company can reduce its $313.1 million net property and equipment base. Li Lu would want to see a clear, multi-year demonstration that mid-cycle free cash flow exceeds the cost of the $229.0 million debt stack, and the trailing twelve months do not yet provide that demonstration.

Risks, Disconfirming Evidence, and What Would Prove This Thesis Wrong

Three observable thesis breakers would force a re-rating. First, a sustained decline in RIN or LCFS credit prices below the levels embedded in the company's environmental-credit revenue would compress product gross margins and push the trailing-twelve-month free-cash-flow proxy below the $22.9 million base, narrowing the gap between the dated market capitalization and any plausible mid-cycle case. Second, a regulatory reversal that either eliminates California's zero-emission truck trajectory or restricts transferable tax credits under OBBBA would remove the structural incentive that anchors RNG demand and would materially compress unit economics; the filings identify this risk explicitly. Third, an equity offering to fund losses would dilute existing holders at distressed prices, particularly given the existing dilution overhang from the Amazon and Stonepeak warrants; the 10-K identifies the Stonepeak credit agreement covenants and the company's ability to issue additional debt under certain conditions as relevant constraints.

The most likely wrong assumption in any constructive case is that the trailing-twelve-month free cash flow is a reliable proxy for mid-cycle free cash flow. The cash-flow statement shows a working-capital benefit that may not recur, and the equity-method loss line is a real economic drag that the parent cannot fully offset. The opportunity cost is that capital deployed at the current price is buying a business that has not yet earned its cost of capital through a full credit-pricing cycle, and the same capital could sit in short-term Treasuries at a risk-free rate while the evidence accumulates. Evidence that would change the conclusion includes a multi-year run of positive GAAP operating income, a sustained LCFS credit-price recovery that lifts product gross margins into the mid-30s percent range, and the company funding its capital program from operating cash flow without drawing on its short-term investment portfolio.

Investment Conclusion

Clean Energy Fuels at $1.625 is a name where the dated market capitalization lies roughly in line with the base case from the deterministic ten-year free-cash-flow exercise but well below the bull case. That positioning is consistent with a fairly-valued conclusion, but it does not constitute a margin of safety. The cash-flow profile is positive on a trailing basis but is dependent on working-capital timing and an environmental-credit regime that the company's own filings describe as subject to political and legislative risk. The balance sheet has been reduced from a fortress to a workable position, and goodwill has already been written off, which removes the largest non-cash cushion that used to mask the operating reality. The investment conclusion is fairly valued on the visible evidence, with a watchlist for any sustained improvement in environmental-credit pricing or in product gross margins that would push the trailing free-cash-flow base closer to the level the market appears to be underwriting.
