Deal Structure and Closing Timeline

Eli Lilly said it will purchase privately held Merida Biosciences for up to $2.875 billion in an all-cash transaction, with the consideration consisting of an upfront payment combined with contingent milestone payments. The companies expect the deal to close in the fourth quarter of 2026, subject to customary conditions. Merida is a biotechnology firm developing biologic therapies that selectively neutralize disease-driving antibodies linked to autoimmune and allergic conditions.
Lead Asset and Pipeline
Merida's lead program, MER511, is being studied in early-phase clinical trials for Graves' disease and thyroid eye disease. According to Lilly, preliminary results showed that MER511 significantly reduced thyroid-stimulating antibodies associated with both disorders while maintaining an encouraging safety profile in early testing. Merida's broader portfolio includes MER769, an investigational compound aimed at food allergies, asthma and related allergic disorders, as well as additional early-stage programs in kidney and immune-related diseases.
Strategic Fit in Immunology
The acquisition is positioned as a continuation of Lilly's push to build out its immunology franchise. Francisco Ramirez-Valle, Lilly's senior vice president of immunology research and early clinical development, characterized Merida's lead program as designed to change the course of disease. The deal follows Lilly's February 2026 agreement to acquire Orna Therapeutics, a B-cell-focused autoimmune specialist, in a $2.4 billion cash transaction, making Merida Lilly's second major autoimmune acquisition of the year.
Competitive Landscape for Thyroid Eye Disease
Two FDA-cleared treatments are currently available for thyroid eye disease: Tepezza from Amgen and Lumvoa from Viridian Therapeutics, setting a competitive backdrop for MER511's eventual development. Existing standard-of-care options for Graves' disease include antithyroid drugs, radioactive iodine therapy and surgical intervention, areas where Merida's antibody-neutralizing approach represents a distinct mechanism.
Market Reaction
Shares of Eli Lilly traded 0.3% lower in premarket activity on the day the deal was disclosed, reflecting modest investor reaction to the announcement. The transaction is structured as a straightforward all-cash purchase, with no disclosed financing contingency.
