The warrant at the center of Monday's move

Marvell Technology shares slid roughly 3% in premarket trading on Monday, extending a 5.6% slide on Friday that closed the stock at $237.04. The pullback came as traders reassessed the terms of a custom-chip agreement that grants Alphabet's Google a warrant covering as many as 58,970,907 Marvell shares at an exercise price of $206.58 each. If exercised in full, the warrant would expand Marvell's diluted share count from 876.93 million to 935.90 million, a 6.3% increase. Broader semiconductor-sector pressure added to the move, with Nasdaq futures down about 0.6% as investors reduced exposure ahead of Nvidia's earnings.
How the dilution math is constructed
Vesting is parceled into 240 tranches, each tied to a $500 million purchase of custom products by Google. Nearly all of the warrant shares unlock only if Google buys $120 billion of custom chips by the end of fiscal 2033, a target 14.6 times Marvell's projected fiscal 2026 revenue. Reuters Breakingviews estimated the deal could lift Marvell's projected 2032 sales beyond $62 billion, compared with a prior estimate near $43 billion. At the $206.58 strike, full exercise would generate roughly $12.18 billion in cash proceeds for Marvell, but the dilutive path is conditional on the purchase milestones.
Underlying operating momentum
The warrant sits atop an already strong fiscal 2026 base. First-quarter revenue rose 28% year to $2.42 billion, adjusted earnings came in at $0.80 per share, and operating cash flow reached $639 million. CEO Matt Murphy said the company is seeing "exceptional AI-related bookings." Marvell guided second-quarter revenue to $2.70 billion, plus or minus 5%, with non-GAAP diluted EPS of $0.93 plus or minus $0.05 and non-GAAP gross margin of 58.25%–59.25%.
Five sessions of elevated volatility
Marvell's stock has swung by no less than 5.5% in each of the last five regular sessions, according to Investing.com historical data cited in the report. The stock rose 5.54% on Aug. 17 to $234.33, fell 7.82% on Aug. 18 to $216.00, climbed 9.85% on Aug. 19 to $237.27, advanced 5.79% on Aug. 20 to $251.01, and dropped 5.57% on Aug. 21 to $237.04. The pattern underscores how the warrant's contingent value has reintroduced single-day execution risk into a name that had been a steady AI beneficiary.
Scope of the Google custom-silicon pact
The July 29 agreement covers AI inference accelerators, storage controllers, network interface controllers, and near-memory compute silicon designed to pair with Google's own chips. Marvell has guided for roughly 40% overall revenue growth in fiscal 2027 to nearly $11.5 billion, with first-quarter data-center revenue hitting a record $1.83 billion. Full warrant exercise would require about $120 billion in cumulative Google purchases over seven years and would make Alphabet one of Marvell's largest shareholders.
