The Quarter in Context

Fluor's Q2 2026 results, covering the three months ended June 30, 2026 and reported on August 7, 2026, showed revenue of $4,329M, up roughly 9% from a year earlier, alongside operating profit of $135M and net income of $114M attributable to the company. Diluted EPS of $0.81 looked ordinary only because the comparable quarter a year earlier had benefited from a $3,212M equity-method fair-value gain on the NuScale investment, which had pushed reported EPS to $14.81. Stripped of those mark-to-market effects, the underlying project business is still narrow: Energy Solutions and Mission Solutions each delivered low-single-digit segment profit on declining revenue, and Urban Solutions absorbed a $44M negative swing from a subcontractor bankruptcy and client-driven infrastructure scope changes.
The most consequential event of the period was financial, not operational. Fluor completed the divestiture of its remaining NuScale stake in April 2026 and sold its Mexican joint venture in July 2026, generating roughly $2.43B of NuScale proceeds plus an additional $175M from Mexico. Management has redirected the cash into share repurchases, with $816M spent on buybacks in the first half of 2026 and a target of approximately $1.4B for the full year. Operating cash flow for the first half of 2026 was a $207M outflow, worsened by a $357M federal and state tax payment tied to the 2025 NuScale share conversion. On the dated terms of the package, the market capitalization was about $7.03B against a share price of $50.36 as of August 3, 2026.
Business Model and Profit Engine
Fluor earns its revenue by delivering engineering, procurement, construction (EPC) and project management services to clients in life sciences, mining and metals, energy, infrastructure and U.S. federal government programs. Customers pay either on a cost-reimbursable basis, where Fluor is reimbursed for costs plus a fee, or on a lump-sum basis, where a fixed price is bid for a defined scope. Of consolidated Q2 2026 revenue of $4,329M, Urban Solutions contributed $2,904M, Energy Solutions $709M and Mission Solutions $716M, with at-cost (reimbursable) revenue running at roughly 66% of Urban Solutions, 45% of Energy Solutions and 50% of Mission Solutions for the quarter. Reimbursable work passes through costs largely dollar-for-dollar, which dampens reported margins but reduces project-by-project downside risk; lump-sum work concentrates both upside and the occasional large loss.
Revenue becomes gross profit when the reimbursable and lump-sum costs are netted against the revenue line. Q2 2026 cost of revenue was $4,150M, leaving $179M of gross profit, or about 4.1% of revenue. General and administrative expenses of $41M were deducted, a $3M foreign currency loss was recorded, and the operating result landed at $135M. Interest income of $32M exceeded interest expense of $11M because the NuScale proceeds had not yet been deployed, and an $8M equity method loss produced net earnings of $114M after a $25M tax expense. Operating cash flow was a $317M outflow for the quarter, with the first half tracking to a $207M outflow, because of the $357M tax payment, working capital build on large projects and $103M of funding on two consolidated infrastructure projects.
The profit engine is therefore more about disciplined bidding and backlog conversion than about unique technology. Reported segment profit per quarter is volatile: Energy Solutions booked $88M in Q2 2026 on close-out items, while Mission Solutions recorded a $98M charge in Q1 2026 tied to a 2013 lawsuit, and Urban Solutions absorbed a $37M cost growth item on a large mining joint venture in Q1 2026. Capital intensity is light for an industrial, with $18M of capex in the first half of 2026 against $7,536M of total assets at June 30, 2026, but working capital is heavy: $1,027M of accounts receivable plus $1,440M of contract assets, funded in part by $1,762M of accounts payable and $541M of contract liabilities. Because the segment economics are not consistently disclosed beyond revenue and segment profit, the all-in unit economics by project type are a data gap in the package.
Earnings Quality and Cash Conversion
Where the issuer reports cash flow and capital expenditure cumulatively, the standalone-quarter cash-flow figures are derived by subtracting the preceding cumulative filing. They are calculations from SEC facts rather than separately reported quarterly line items. Reported earnings and cash flow moved in opposite directions in Q2 2026. Net earnings attributable to Fluor of $114M, plus $9M to noncontrolling interests, produced $123M of consolidated net earnings, yet operating cash flow was a $317M outflow. The half-year operating cash flow figure of negative $207M included the $357M tax payment related to the 2025 NuScale share conversion, plus changes in assets and liabilities that consumed $359M. Stripping out those items would not yet produce a confidently positive free cash flow proxy: depreciation was only $32M and stock-based compensation was $22M for the six-month period, and there were no recurring cash earnings large enough to absorb ordinary working capital build on a backlog of $26.9B at June 30, 2026.
Equity-method and divestiture gains flatter reported profit but reduce cash conversion quality. The Q2 2026 results include a $124M gain on the sale of CFHI, recognized because the asset had previously been fully impaired, and a $167M gain on the fair value of the NuScale forward sale contracts in the six-month period. These are non-operating in nature and reverse the cash already received when NuScale shares were sold earlier in the year. The income statement also shows a $123M positive tax expense in the 2025 Quarter attached to a $2,455M post-tax equity-method gain, demonstrating how non-cash mark-to-market swings can pull reported EPS into the $14.81 range without any corresponding operating improvement. The accounting free-cash-flow proxy of operating cash flow minus total capital expenditure is negative for the trailing twelve months, so we treat it as an unreliable indicator of normalized earning power rather than as a maintenance-capex owner-earnings figure.
Accounting free cash flow remains -$0.3 billion. In a separate, more conservative owner-earnings sensitivity—not an alternate definition of reported free cash flow—treating TTM stock-based compensation of $0.0 billion as an economic dilution cost produces approximately -$0.4 billion. This is an analytical approximation, not a company-reported measure, and it treats compensation paid in shares as an economic cost even though the cash-flow reconciliation adds it back.
Business Quality, Moat, and Industry Position
On the available evidence, the company is best described as an ordinary participant, not a demonstrated core supply-chain bottleneck. This classification describes strategic position only; it is not independent proof of a moat or valuation upside. Fluor describes its competitive strengths as a global execution platform, complex-project track record, market diversity, long-tenured client relationships and disciplined risk management. Whether any of those translate into a durable moat is harder to verify from the filings alone. Segment results show close-out benefits and forecast adjustments swinging quarter to quarter: Energy Solutions benefited from favorable close-out items in Q2 2026 but suffered a $31M arbitration hit in Q2 2025, and Urban Solutions booked $54M of forecast adjustments for cost growth on three infrastructure projects in Q2 2025. The pattern is consistent with an industry in which project margins are bid in advance and won or lost on execution, not on proprietary technology.
Backlog of $26.9B at June 30, 2026 provides some forward visibility, with new awards of $8.8B in the first half and $6.1B in the quarter, but adjustments and cancellations of negative $644M in Q2 (including a $669M removal tied to the Mexican joint venture sale) reduce that headline number. Of the backlog, $119M was on legacy loss projects with an estimated $68M of unfunded losses remaining, down from $212M at year-end 2025. Backlog quality is split: 81% of backlog is reimbursable, which reduces catastrophic loss risk, but $973M of unfunded government contracts in Mission Solutions carry appropriation risk. The supply chain position is downstream of engineering services into physical construction, with significant project-specific joint-venture exposure where Fluor must sometimes consolidate variable interest entities and bear the loss exposure directly.
Management and Capital Allocation
Management's capital allocation is currently aggressive in one direction and conservative in another. The aggressive side is buybacks: 17 million shares repurchased for $816M in the first half of 2026, with a stated $1.4B target for the full year and 22.7 million shares remaining under the expanded authorization. The conservative side is the balance sheet, with long-term debt of $1,072M, no borrowings under the $2.2B credit facility, and $3.04B of cash and marketable securities at June 30, 2026. The mix effectively returns NuScale proceeds to shareholders rather than reinvesting them in acquisitions or internal capacity. Offsetting that is the operating-cash-flow drag from the $357M NuScale-related tax payment and ongoing legacy project funding, which means a meaningful portion of the buyback program is being funded by a one-time divestiture, not by recurring earnings.
The filing discloses severance, restructuring and a $98M charge tied to a 2013 lawsuit in Q1 2026, along with $44M of cost growth on a large mining joint venture also in Q1 2026, suggesting that legacy exposures continue to bleed into reported earnings. Stock-based compensation was $30M for full-year 2025 against an operating environment in which segment profit is project-driven and lumpy, and stock growth incentive awards tied to total shareholder return create a direct alignment between management's incentives and the buyback-driven share-price narrative. The market signals so far support that narrative: the share price has risen above the $45.37 conversion threshold of the 2029 Convertible Notes, adding 872,024 shares to diluted shares for Q2 2026.
Valuation and What the Market Already Expects
At a dated market capitalization of about $7.03B against a share price of $50.36 on August 3, 2026, the market is pricing Fluor well above its recent operating-cash-flow profile. The cash-flow yield on the trailing twelve-month operating cash flow of negative $287M is not meaningful, but the cash balance of $2.92B plus $120M of marketable securities provides a roughly $3.04B liquidity cushion against $1.07B of long-term debt. The dated market capitalization therefore implies an enterprise value near $5.1B once cash and debt are netted at the latest balance-sheet date, which is more than twenty times the modest normalized earnings the project business has produced in recent reporting.
Reverse-DCF analysis is therefore qualitative rather than precise. For the dated $7.03B equity value to be supported purely by the project business, Fluor would need to generate sustained normalized free cash flow materially above the $200M-$300M annual range implied by recent segment profits, and to do so with working capital that has historically consumed cash during execution. The $2.43B of NuScale proceeds has allowed management to bridge the gap through buybacks, but those buybacks reduce share count rather than expand the underlying earnings base. A mechanical rough sensitivity of trailing reported EPS would not constitute trailing earnings, because reported EPS is dominated by one-time NuScale mark-to-market effects; the structural signal is that the dated market price already credits a meaningful recovery in operating cash generation that the most recent quarterly operating result does not yet confirm.
Ten-Year Cash Flow to Fair Market Value
Direct compounding from the trailing free-cash-flow proxy is not possible because the current base is negative: the trailing twelve-month operating cash flow was negative $287M against capital expenditure of $43M, leaving an accounting free-cash-flow proxy of roughly negative $330M. A bridge from a negative base would require an immediate and unexplained swing to positive cash generation, which the filings do not support. We therefore frame the value question through bear, base and bull normalization paths using explicit author assumptions, with each path being a range of inputs rather than an audited number.
For a bear path, assume revenue holds flat around $16B and segment profit margins stay near the 2% range implied by Q2 2026, producing an annual free-cash-flow proxy in the $100M-$250M area once working capital normalizes; capitalized at a 10% yield, that supports equity value near $1.0B-$2.5B before any cash adjustments, well below the dated $7.03B. For a base path, assume Urban Solutions margins stabilize near 1% segment profit and Energy Solutions plus Mission Solutions collectively recover to the 5%-6% segment profit range observed in strong quarters, producing a free-cash-flow proxy around $400M-$600M and a capitalized value of $4B-$6B, still shy of the dated market capitalization. For a bull path, assume backlog conversion lifts segment profit margins toward 4%-5% across the portfolio and capex stays near $50M, producing an $800M-$1.0B free-cash-flow proxy and a capitalized value of $8B-$10B. Every input here is author assumption, the current base is non-positive, and none of these scenarios should be read as an audited or company-issued fair value.
Five Value-Investing Lenses
Benjamin Graham Lens
Graham's discipline asks whether the price provides a margin of safety against the worst credible outcome. Fluor's balance sheet is resilient: $3.04B of cash and marketable securities against $1.07B of long-term debt, with no borrowings under the credit facility and a debt-to-capitalization covenant that allows 0.60 to 1.00. However, resilience at the balance-sheet level is not the same as a margin of safety at the equity level. The trailing twelve-month operating cash flow is negative, segment profit margins are low-single-digit, and the dated market capitalization of $7.03B implies that investors are paying for normalized earnings the project business has not yet delivered. Graham would also note that goodwill on the balance sheet is not a current figure and intangible asset data is stale, so there is no current tangible book anchor to lean on. The price is not, on the evidence, a clear bargain.
Benjamin Franklin Lens
Franklin's frame is one of capital discipline, opportunity cost and compounding. Fluor's buyback program returns $1.4B of capital this year, but that capital is sourced primarily from a one-time NuScale divestiture, not from compounding project earnings. Management has not announced a dividend, has not made a large accretive acquisition, and is not reinvesting aggressively in capacity, so the opportunity cost question is whether buybacks at roughly $48.74 per share in Q2 2026 are the highest-return use of cash when normalized free cash flow is negative. The trade-off is more disciplined than destructive, but it relies on continued project execution to avoid the buyback substituting for an actual earnings base. Li Lu's frame emphasizes circle of competence, culture, durable advantage and permanent-loss control. Fluor's circle is global EPC execution, which is a competitive but commoditized industry where project-specific execution is the primary determinant of outcome. The culture signals visible in the filing include safety as a stated core value, a reimbursable-heavy backlog mix that reduces catastrophic loss risk, and a willingness to take charges on legacy exposures rather than letting them roll forward. The permanent-loss risk, however, is real: the company has absorbed multi-hundred-million-dollar charges on infrastructure and mining joint ventures, holds $12B of performance guarantees, and has $68M of estimated unfunded losses remaining on legacy loss projects. A durable advantage is not clearly evidenced in the segment economics, and the dated market price does not yet reflect a margin of safety against further project-level surprises.
Risks, Disconfirming Evidence, and What Would Prove This Thesis Wrong
The clearest disconfirming evidence in the package is the trailing twelve-month operating cash flow of negative $287M and the first-half operating cash flow of negative $207M, even after a $124M CFHI sale gain. The second is the pattern of project-level losses, including the $98M Mission Solutions charge in Q1 2026 and the $44M Urban Solutions swing in Q2 2026 from a subcontractor bankruptcy and client-driven changes. The third is the level of legacy exposures, with $119M of backlog on legacy loss projects, $68M of unfunded losses, $762M of uncommitted letters of credit and $12B of performance guarantees.
Three observable thesis breakers would force a reassessment. First, a return to sustained positive operating cash flow of more than $300M annually with backlog conversion margins above 3%, which would justify a more confident valuation framework. Second, a meaningful decline in legacy project reserves and unresolved claims, with no further multi-hundred-million-dollar charges, which would demonstrate that the worst of the historical book has been worked through. Third, a capital allocation pivot toward organic reinvestment or a sizable accretive acquisition that grows the project earnings base rather than the share-count reduction strategy. The most likely wrong assumption is that NuScale proceeds represent a repeatable earnings stream; they are one-time in nature and have already been substantially distributed via buybacks.
Investment Conclusion
Fluor at $50.36 per share is a financially engineered earnings story in which one-time NuScale divestiture proceeds are funding a substantial buyback while the underlying project business still produces low-single-digit segment margins and negative operating cash flow. The balance sheet provides liquidity, but the equity valuation has begun to price in operating recovery that the filings have not yet demonstrated, and recurring project charges on legacy exposures continue to surface. The investment conclusion is fairly valued, with risk skewed toward overvaluation if the dated market capitalization is held against the negative trailing operating cash flow and the $7.03B equity value. A more attractive risk-adjusted entry would require either a sustained return to positive free cash flow generation or a meaningfully lower share price that prices in the normalization risk.
