Business Model and Profit Engine

Customers fall into three distinct pools. Class I North American railroads and short-line operators buy pressure-treated crossties through long-term contracts; electric utilities and telephone companies buy treated utility poles, with demand increasingly tied to data-center electrification and grid hardening; wood-preservation chemical customers buy formulations such as CCA and DCOI for residential, agricultural and industrial treatment of lumber; and downstream industrial buyers purchase coal-tar derivatives (creosote, carbon pitch, carbon black feedstock, naphthalene) for use in steel, aluminum and rubber applications. All three pools buy recurring, specification-driven inputs rather than discretionary goods, and a substantial portion is delivered under multi-year contracts with North American Class I railroads. The customer base therefore looks structurally stickier than a typical industrial commodity franchise, with vertical integration between CMC and RUPS reinforcing that stickiness.

Revenue for the quarter split into $245.9 million Railroad and Utility Products and Services, $168.2 million Performance Chemicals and $106.0 million Carbon Materials and Chemicals, and a single six-month picture carries similar proportions. Within those segments, RUPS revenue fell 1.8% as the 2025 sale of the railroad services business and crosstie price softness offset a 16% volume increase in domestic utility poles; PC revenue rose 11.5% on 11% volume growth primarily in the Americas; CMC revenue rose 2.3% on better carbon black feedstock volumes offset by lower phthalic anhydride output following the 2025 shutdown. Conversion to gross profit is structurally pressured: cost of sales consumed 79% of revenue in the quarter versus 77% a year earlier, and the filing does not disclose gross margin by segment, which is a notable disclosure gap.

Below gross profit, fixed costs (depreciation, plant overhead) and SG&A dominate; impairment and restructuring charges sit separately and do not recur once the Stickney exit is complete by year-end 2026. Capital intensity is high: six-month capex of $23.7 million is on pace with the company's $55 million full-year guidance, working capital was a $20.6 million source of cash in the half year as inventory declined by $19.2 million, and accounts payable rose by $44.5 million while receivables grew by $48.2 million. The cost of cash conversion is rising faster than the headline suggests. Interest expense of $15.0 million in the quarter is below the prior-year period's $17.3 million due to a combination of lower rates and modestly lower borrowings, but the credit facility remains the dominant balance-sheet liability. The quarter's tax benefit of $32.5 million reduced the reported loss but stems from the same impairment that produced the loss; the two are causally linked and one cannot be interpreted in isolation. On the available evidence, the company is best described as an important participant, not a demonstrated core supply-chain bottleneck. This classification describes strategic position only; it is not independent proof of a moat or valuation upside. Koppers describes itself as the largest North American supplier of railroad crossties to the Class I railroads, the second-largest U.S. producer of utility poles and the global leader in wood-preservation chemicals, with one principal competitor in crossties (Stella-Jones) and several smaller regional rivals. The competitive moat rests on three legs: long-term contracts with the Class I railroads, plant sites located directly on customer rail lines that create logistics friction for any new entrant, and vertical integration in creosote (CMC) and in CCA/DCOI (PC) that insulates RUPS from chemical input volatility. These are real frictions, but they are not unique or insurmountable: Stella-Jones has a similar contractual and logistics footprint, and the utility-pole market is more fragmented with larger alternative materials (steel and concrete) waiting in the wings.

In Carbon Materials and Chemicals, the moat looks narrower. The coal-tar feedstock supply is structurally shrinking as global metallurgical coke production declines outside Asia, and management is actively pursuing petroleum-blended substitutes to slow that decline. Capital intensity in CMC is also the highest in the portfolio, and the segment produced only 7.2% adjusted EBITDA margin in the quarter versus 10.5% in RUPS and 22.4% in PC. The cumulative charges expected from the Stickney shutdown ($233 to $252 million pre-tax) imply that even management views the prior capital base in this segment as impaired, a fact that is consistent with the long-term decline of coal-tar supply rather than a temporary cyclical event.

Management and Capital Allocation

Management's capital-allocation choices through the first six months reflect a clear hierarchy: cost rationalization first, balance-sheet repair second, and modest shareholder returns third. The company idled two RUPS plants while running a multi-year business transformation programme and eliminating the phthalic anhydride line, generating an expected $204 to $213 million of cumulative non-cash charges plus $79 to $93 million of cumulative cash charges spread across the Stickney exit and the workforce-reduction programme. Six-month repurchases of $43.9 million plus dividends of $3.8 million absorb roughly 50% of trailing free cash flow; the share buyback pace of $14.9 million in the quarter is below the $29.0 million spent in Q1 2026, leaving $29.6 million remaining on the existing $100 million authorization at quarter-end.

Capital structure remains tight but stable: total debt of $897.6 million includes $4.9 million of current maturities and $892.7 million of long-term debt at quarter-end, against $40.7 million of cash, and the credit facility leverage ratio was 3.4x against a 4.75x covenant ceiling, with cash interest coverage at 4.4x against a 2.0x floor. Stock-based compensation of $6.8 million for the half is a normal cash cost, and the new performance share units link to adjusted earnings per share and free cash flow rather than EBITDA, which is a reasonable alignment signal in an environment where EBITDA carries more one-time noise. The third observable breaker would be a multi-quarter decline in domestic utility-pole volumes, which would conflict with the assumption that data-center electrification and grid hardening can sustain double-digit growth even as the overall crosstie market stays flat at 18 to 22 million ties per year.

Disconfirming evidence inside the available filings includes the negative operating margin of -31.9% in Q2 2026 (driven by the impairment), the two-percentage-point increase in the cost-of-sales ratio versus the prior-year period, and the recurring mark-to-market hedging losses in copper and heating oil that suggest the procurement programme is not fully insulating margin. For most public readers this combination sits outside a comfortable circle of competence, even though the trailing twelve-month free-cash-flow proxy is positive and the balance sheet operates inside its covenants today.
